Terms of Service

By accessing vrelum.com or using any Vrelum service ("the Service"), you agree to these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you ("User", "you") and Plovum Co. ("Vrelum", "we", "us"), the operating entity.

Vrelum is a technology platform providing:

• Audited algorithmic trading strategy software (the "Bots").
• A dashboard for monitoring and controlling bot operations.
• An audit framework (R83 deflation, walk-forward validation, Iron Rules v1–v5).
• A marketplace for third-party strategy providers (Phase 2 — not yet active).

Vrelum is not:

• A broker or custodian. We never hold your capital.
• A registered investment advisor. We do not provide personalised investment advice.
• A guarantor of trading results. All trading involves risk of loss.

To access the dashboard or deploy a bot, you must:

• Be at least 18 years old.
• Provide accurate registration information.
• Maintain the confidentiality of your account credentials.
• Notify us immediately of any unauthorised access.

You are responsible for all activity that occurs under your account.

Vrelum operates by reading and writing to your existing broker account via API keys you provide. By connecting your broker you authorise Vrelum to place trades on your behalf using only your designated capital allocation.

You acknowledge that:

• API keys must be configured with "trade only" permissions — not withdraw or transfer.
• We never store, request, or have access to your broker login password.
• We cannot move funds out of your account; your capital remains at your broker at all times.
• If you provide API keys with withdraw / transfer permissions enabled, that is your decision and your risk.

You acknowledge and accept that:

• Trading involves substantial risk of loss.
• You can lose your entire capital.
• Past performance, including audited backtests, does not guarantee future results.
• Vrelum's R83 deflation reduces backtest Sharpe by Bonferroni-corrected bounds, but no statistical adjustment can predict live performance with certainty.
• Real-account drawdowns of −15% to −30% are within audited expectations.
• Worst-case drawdowns exceeding our published estimates are possible.

Vrelum offers subscription tiers (Free, Pro, Enterprise) with features described on the Pricing page.

• Subscriptions auto-renew unless cancelled before the renewal date.
• Payments are processed by Stripe; we do not store full payment card details.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are at Vrelum's discretion and are typically not provided for partial periods.
• Performance fees (a percentage of profits) apply to certain tiers and are charged separately.

When the marketplace launches, third-party strategies will be listed alongside Vrelum's internal bots. By using a third-party strategy you acknowledge:

• Vrelum's role is platform operator, not strategy creator.
• The strategy creator is responsible for the strategy's design and ongoing maintenance.
• Vrelum audits all listed strategies, but the audit does not guarantee future performance.
• Revenue share applies: Vrelum receives a percentage of performance fees collected on third-party bots.

• Vrelum's audit framework, branding, and content are owned by Plovum Co.
• Internal bot implementations are confidential and proprietary; strategy code, parameters, and signal logic are not shared.
• You may not reverse-engineer, decompile, or attempt to access underlying strategy code.
• For Phase 2 marketplace: strategy creators retain IP in their submitted strategies; Vrelum receives a non-exclusive licence to operate them on the platform.

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to access other users' data or accounts.
• Interfere with the operation of the Service.
• Reverse-engineer Vrelum's audit framework or bot code.
• Scrape, copy, or redistribute Vrelum's content without permission.
• Misrepresent your identity, affiliation, or capital source.

You agree to indemnify and hold Vrelum, Plovum Co., and our personnel harmless from any claims arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of third-party rights, including your broker's terms.
• Trading losses you incur, whether through Vrelum bots or otherwise.

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind, express or implied.
• We do not warrant uninterrupted service, error-free operation, or specific results.
• Vrelum's total aggregate liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim.
• We are not liable for indirect, consequential, or punitive damages, including trading losses.

We may suspend or terminate your access for:

• Violation of these Terms.
• Suspected fraud or unauthorised use.
• Regulatory or legal requirement.
• Discontinuation of the Service.

You may close your account at any time. On termination, your active subscriptions cease, any deployed bots are paused, and your data is retained per our Privacy Policy.

These Terms are governed by the laws of Thailand. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in Bangkok, Thailand, conducted under the rules of the Thai Arbitration Institute, unless otherwise required by law.

You waive any right to class-action proceedings; disputes must be brought individually.

We may revise these Terms from time to time. Material changes will be communicated to you by email and posted on this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
